Digital product terms

Please read these terms before buying. By completing a purchase you agree to them. If you do not agree, please do not buy.

1. Who we are

Our digital products are sold by The Procurement Lab.

You can contact us at info@theprocurementlab.com.

Payment and delivery are handled by Gumroad, which acts as our sales platform and payment processor. Gumroad's own terms apply to your purchase alongside ours.

2. What you are buying

A digital document, or set of documents, supplied as an editable file for download. What is included in each product is described on its listing before you buy.

Our products are templates and structured starting points. They are written to be reviewed, edited and adapted by you before use. They are not bespoke documents prepared for your organisation, and they have not been written with knowledge of your particular circumstances.

3. Your licence, what you may do

Once we have received payment, we grant you a perpetual, non-exclusive, non-transferable licence to use the product for internal business purposes within your own organisation. You may:

• edit, adapt, rebrand and extend the content as much as you like;
• reproduce it internally and share it with your own employees, officers and contractors while they are working for your organisation;
• adopt the adapted content as your own internal policy, process or documentation, under your own branding.

In these terms, your organisation means the single legal entity that bought the product. Group companies, subsidiaries and franchisees are not covered by a single purchase and need their own licence.

4. What you may not do

You may not:

• resell, sublicense, distribute, publish or share the product, in its original or an adapted form, to anyone outside your organisation;
• remove our branding or present the content as your own original work;
• upload it to any public or shared repository, template library, forum, learning platform or file-sharing service;
• use it, in whole or in part, to create a competing template, toolkit or product for sale or distribution;
• remove or obscure any copyright, version or attribution notice contained in the file.

Consultants and advisers. If you are a consultant, adviser or agency, you may use our products with your own clients, provided that The Procurement Lab is clearly credited as the source and our branding is retained on the document. You may not present the content as your own, remove attribution, or resell the file itself as a standalone product.

5. Intellectual property

We retain all intellectual property rights in our products. Nothing in these terms transfers ownership of anything to you. Where you adapt our content, your adapted version remains subject to this licence so far as it contains our underlying material.

6. Price, tax and payment

Prices are shown on each product listing. Any applicable taxes are calculated and collected by Gumroad at checkout.

We are not VAT registered, and we do not charge VAT on our prices.

For digital sales in the UK and EU, Gumroad acts as the merchant of record and is responsible for collecting and remitting any VAT due on the sale. Where tax applies in your country, Gumroad calculates it based on your location and adds it at checkout, so you will see the full amount before you pay.

If your business is VAT registered, you can enter your VAT number at checkout, in which case Gumroad handles the treatment of the sale accordingly.

7. Delivery

Products are delivered digitally, immediately after payment, through Gumroad. A download link is also sent to the email address you provide at checkout.

It is your responsibility to give a valid email address and to download your file. If your download does not arrive, check your spam folder first, then email info@theprocurementlab.com and we will sort it out.

Your download remains available through Gumroad indefinitely, so you can return to it whenever you need to.

8. Cancellation and refunds

Our products are digital files supplied immediately. By completing your purchase, you expressly request immediate supply and acknowledge that you will lose any right to cancel once the download has been made available to you.

We do not offer refunds once a file has been downloaded. If a file is faulty, will not open, is materially not as described, or the wrong product was delivered, please email info@theprocurementlab.com within 14 days of purchase. We will replace the file or refund you in full. We would always rather put a problem right than leave you with something you cannot use.

Nothing in this section affects your statutory rights, including your rights under the Consumer Rights Act 2015 if you buy as a consumer.

9. Our products are not professional advice

Our products are general information and structured starting points. They are not legal, regulatory, financial, tax or other professional advice, and they are not compliance certification. Buying or using one does not create any professional, advisory or consultancy relationship between us.

Where a product covers regulatory subject matter, including packaging compliance topics such as extended producer responsibility, recyclability assessment methodology and the EU Packaging and Packaging Waste Regulation, the content is introductory and general in nature. It is written to help you understand the landscape and ask better questions internally. It does not assess your organisation, determine your obligations or replace specialist compliance or legal advice.

Law, regulation and official guidance change, sometimes quickly. Content reflects our understanding at the date of writing and may be out of date by the time you read or use it. We do not undertake to keep any product current.

You remain responsible for identifying and meeting your own legal and regulatory obligations, for verifying the current position with the relevant regulator or official source before acting, and for taking advice from a suitably qualified specialist where your circumstances warrant it.

10. No warranty

Our products are supplied as they are. To the fullest extent permitted by law, we make no warranty or representation that the content is accurate, complete, current, suitable for your organisation or fit for any particular purpose.

11. Liability

To the fullest extent permitted by law, we are not liable for any loss, cost, expense, penalty, fine, regulatory action, or any direct, indirect or consequential loss or damage arising from your use of, or reliance on, a product. This includes where information in a product has changed or become out of date after your purchase.

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded or limited. If you buy as a consumer, your statutory rights are not affected.

12. Updates to products

We may update our products from time to time. We are under no obligation to provide updates, and any updated version is issued at our discretion. Where an update is provided free of charge to existing buyers, that does not create an obligation to do so again.

13. Changes to these terms

We may amend these terms from time to time. The version in force at the time of your purchase is the version that applies to that purchase.

14. Governing law and jurisdiction

These terms, and any dispute arising out of them, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction. If you buy as a consumer outside the UK, you may keep certain rights under your local law.
